The first of four lawsuits was one of the first in the nation involving the newly created mechanism for judicial expulsion under the Uniform Revised Limited Liability Act. The second lawsuit was a direct action by Shulkins against DiMola and others for various corporate torts, and the third lawsuit was a derivative action by Schulkins on behalf of the company also for various corporate torts. The final action was an action by DiMola against the company for dissolution. While the litigation was pending DiMola fraudulently transferred Heritage’s assets to a new company, giving rise to counterclaims for fraudulent transfer of corporate assets.
