A major broker/underwriter on the London Stock Exchange was sued in Florida state courts arising out of a failed IPO involving a major real estate and hospitality project in central Florida and claims by the plaintiffs of over $400 million in damages for securities fraud. The client had serious concerns about potential adverse reputational consequences flowing from its involvement and additional exposure resulting from similar claims by other investors throughout Europe notwithstanding that the client had at all times acted appropriately. Through carefully crafted motion practice and on jurisdictional and choice of law issues, we were able to have the primary monetary claims dismissed and a global settlement achieved eliminating the possibility of future claims in other jurisdictions by other investors.
